Terms Governing Your Use of AmpleLogic Services

1. Acceptance of Terms

By accessing our website or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

AmpleLogic provides enterprise software solutions for the life sciences industry, including but not limited to Laboratory Information Management System (LIMS), electronic Quality Management System (eQMS), electronic Batch Manufacturing Records (eBMR/MES), Document Management System (DMS), Learning Management System (LMS), and other regulated-industry software products. The specific features, functionality, and terms of each product are defined in the applicable Service Level Agreement (SLA) or subscription agreement.

3. User Accounts

• You must provide accurate, complete, and current information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account or any other security breach
• We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for extended periods

• You retain all rights to the data you input into our platform ("Customer Data")
• We process Customer Data solely to provide the Services and as described in our Privacy Policy
• We maintain appropriate technical and organizational measures to protect Customer Data in compliance with applicable data protection regulations
• Upon termination, we will provide you with your Customer Data in a standard format and delete our copies within 90 days unless retention is required by law

• Fees are as specified in your subscription agreement or order form
• All fees are non-refundable unless otherwise stated in your agreement
• We reserve the right to modify pricing with 30 days' prior written notice
• Failure to pay within the specified period may result in suspension or termination of Services

7. Service Level Agreement

AmpleLogic aims to provide 99.9% uptime for cloud-hosted Services, excluding scheduled maintenance windows. Specific SLA terms, including support response times, escalation procedures, and service credits, are defined in your individual Service Level Agreement.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of the business relationship. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or to professional advisors bound by confidentiality obligations.

9. Limitation of Liability

• To the maximum extent permitted by law, AmpleLogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
• Our total liability for any claim arising from the Services shall not exceed the total amount paid by you for the Services during the twelve (12) months preceding the claim
• These limitations apply regardless of the legal theory upon which the claim is based

10. Indemnification

You agree to indemnify, defend, and hold harmless Venkanna Software Services Private Limited (AmpleLogic), its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

• Either party may terminate the agreement with 30 days' written notice
• We may terminate or suspend access immediately for material breach of these Terms
• Upon termination, your right to use the Services ceases immediately
• Provisions that by their nature should survive termination shall remain in effect (including intellectual property, limitation of liability, and indemnification)

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiations.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or other force majeure events.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on our website. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
